Committees of the Board of Directors

The Board of Directors takes a number of measures to ensure that it has enough information to
fulfil its duties. This also includes two committees of the Board of Directors. The Risk, Audit & Compliance Committee meets on a regular basis to make an independent judgement on the external and internal audit, the internal control system including risk management, adherence to regulations and laws (compliance) and the annual financial statements.  The Human Resources Committee advises on elections to the Board of Directors and Group Executive Management and their remuneration.

Risk, Audit & Compliance Committee 

The Risk, Audit & Compliance Committee, chaired by Karin Lenzlinger, comprises Jörg Zulauf, Chairperson of the Board of Directors, and Anne Cheseaux, member of the Board of Directors.  The RACC is responsible for carrying out risk assessments and coordinating, monitoring and preparing decisions for the Board of Directors as part of an assurance concept, as well as managing the tasks and cooperation of the external and internal auditors. Decisions about the external audit are made by the Board of Directors.

Human Resources Committee 

The Human Resources Committee, chaired by Jörg Zulauf, Chairperson of the Board of Directors, includes Ingeborg Gasser-Kriss and Karin Lenzlinger. The HRC prepares elections to the Board of Directors and the Group Executive Board and the corresponding remuneration for the attention of the Board of Directors. It approves succession planning and management development for the members of the Group Executive Board. The committee also reviews the SV Group’s incentive systems and the incentives that are applied for by the Group’s Executive Board members. The Human Resources Committee defines the values and culture of the SV Group.
